These Terms of Use govern your access to and use of the CareIO Inc. Modern Healthcare Data Governance, Interoperability, and Innovation Platform, a Software-as-a-Service (SaaS) platform for managing, storing, and processing healthcare data. By accessing or using the Platform, you agree to be bound by these Terms, including our Privacy Policy and any additional terms or policies that may apply to specific features of the Platform.

If you do not agree with these Terms, do not use the Platform.

1. Acceptance of Terms

By accessing or using the Platform, you agree to these Terms of Use, and any modifications or updates made to them from time to time. If you are using the Platform on behalf of an organization, you represent and warrant that you are authorized to agree to these Terms on behalf of that organization.

2. Platform Overview

The Platform provides healthcare professionals, organizations, and their affiliates with services to store, process, manage healthcare data securely. These services may include, but are not limited to:

  1. Data storage and management (e.g., electronic health records)
  2. Data analytics and reporting tools
  3. Patient and provider communication tools
  4. Integration with third-party healthcare applications

3. Eligibility to Use the Platform

You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Platform. By using the Platform, you confirm that you meet these eligibility requirements.

4. Healthcare Data Privacy and Security

As a provider of healthcare-related services, we are committed to safeguarding the privacy and security of healthcare data.

Compliance with Laws: We comply with applicable laws, including HIPAA (for U.S. users), GDPR (for EU users), and other relevant data protection regulations. We ensure that healthcare data is stored, processed, and shared in accordance with these laws.

Data Encryption and Security: We implement robust security measures, including data encryption, access control, and secure communication protocols, to protect healthcare data. Access Control: You are responsible for managing access to your account, ensuring that only authorized individuals can access your healthcare data.

5. User Responsibilities

By using the Platform, you agree to the following responsibilities:

  1. Compliance with Laws: You will comply with all applicable laws, including data protection regulations (e.g., HIPAA, GDPR), and ensure that you only upload and process data that you are authorized to handle.
  2. Accurate Information: You will provide accurate and up-to-date information when using the Platform, including any healthcare data that is uploaded. Confidentiality: You will keep your account credentials secure and confidential. You are responsible for all activity under your account.
  3. Prohibited Activities: You agree not to use the Platform for any illegal activities, including, but not limited to, uploading unauthorized, offensive, or unlawful content or engaging in activities that could harm the security or functionality of the Platform.

6. Data Ownership and Rights

  1. Your Data: You retain ownership of all healthcare data that you upload to the Platform ("User Data"). By using the Platform, you grant CareIO Inc. a non-exclusive, royalty-free license to process and store this data as necessary to provide the services.
  2. Anonymized Data: We may aggregate, anonymize, and use non-identifiable data to improve the Platform or generate analytics. This data will not be used to identify any individual or patient.

7. Account Registration and Security

To use the Platform, you must create an account. You agree to:

  1. Provide accurate and complete registration information.
  2. Maintain the confidentiality of your account credentials.
  3. Immediately notify us if you believe your account has been compromised.
  4. We are not responsible for any loss or damage resulting from your failure to comply with these security measures.

8. Subscription and Fees

Some features of the Platform may require a paid subscription. If applicable, you agree to:

  1. Pay the fees associated with your subscription, as specified in the pricing section of the Platform.
  2. Ensure your payment details are accurate and up-to-date.
  3. Abide by the billing terms, including any applicable cancellation or refund policies.
  4. Subscription fees are non-refundable, except as expressly stated in this agreement or in applicable law.

9. Use of Third-Party Integrations

The Platform may integrate with third-party services or applications ("Third-Party Services"). Your use of these Third-Party Services is governed by their respective terms of use, and you agree to comply with them. CareIO Inc. is not responsible for any actions or omissions by third-party providers.

10. Suspension or Termination of Account

We reserve the right to suspend or terminate your account and access to the Platform if:

  1. You violate these Terms of Use.
  2. You engage in any activity that threatens the security or performance of the Platform.
  3. Your subscription fees are not paid in accordance with the terms.
  4. You may terminate your account at any time by providing written notice. Upon termination, you will no longer have access to your data unless requested before termination.

11. Limitation of Liability

To the maximum extent permitted by law, CareIO Inc. and its affiliates, employees, or agents shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business, arising out of or in connection with your use of the Platform, even if we have been advised of the possibility of such damages.

Our liability for any claim relating to these Terms will be limited to the total fees paid by you for the Services in the 12-month period preceding the event giving rise to the claim.

12. Disclaimer of Warranties

The Platform is provided "as is," without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Platform will be error-free or uninterrupted, or that it will meet your specific requirements.

13. Indemnification

You agree to indemnify, defend, and hold harmless CareIO Inc., its affiliates, employees, and agents from and against any claims, damages, losses, liabilities, or expenses (including attorneys' fees) arising from:

  1. Your violation of these Terms of Use.
  2. Your use of the Platform, including any healthcare data uploaded.
  3. Any breach of privacy or data protection obligations.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of New Jersey, USA, without regard to its conflict of law provisions. Any dispute arising from or related to these Terms shall be resolved through binding arbitration in New Jersey, USA. You agree to waive any right to participate in class actions or other group proceedings.

15. Modifications to the Terms

We reserve the right to modify or update these Terms of Use at any time. Any changes will be posted on this page, and the "Last Updated" date will be revised. Continued use of the Platform after such changes constitutes your acceptance of the modified Terms.
